Terms (public offer)

This document is a public offer by Sole proprietor [Full Name] (the “Organiser”) to conclude an agreement for the provision of services for participation in the event “Flower Forum 2027” on the terms below. The agreement is public under Articles 633 and 641 of the Civil Code of Ukraine and is concluded electronically under the Law of Ukraine “On Electronic Commerce”. This is a translation; in case of discrepancies the Ukrainian version prevails.

1. Definitions

2. Subject of the agreement

2.1. The Organiser undertakes to provide the Attendee with services for participation in the Forum under the chosen Tariff, and the Buyer undertakes to pay for them.

2.2. The content of each Tariff (seating, meals, access to recordings, afterparty, gifts, etc.) is stated on the Website in the “Tickets” section and the comparison table, which form an integral part of the agreement.

2.3. The programme, speakers and partners are for information and may be changed by the Organiser without changing the Tariff. Replacement of an individual speaker or talk is not grounds for a refund.

3. Acceptance and conclusion of the agreement

3.1. Acceptance of the offer consists of filling in the order form on the Website, ticking the box confirming agreement with this offer, the Ticket purchase and refund rules and the Privacy policy, and paying the Ticket price in full.

3.2. The agreement is concluded when the payment is credited (Articles 641, 642 of the Civil Code of Ukraine; Article 11 of the Law “On Electronic Commerce”).

3.3. When paying by invoice, the agreement is concluded when the funds are credited to the Organiser’s account.

4. Price and payment

4.1. Ticket prices are stated on the Website in hryvnias and apply at the moment of payment. Prices change in sales waves (“Early bird”, “Standard”, “Last wave”) with the dates stated on the Website. A later price change does not affect an agreement already concluded.

4.2. A pair ticket is available for Business and Gold: two Tickets in one order with a 10% discount. Promo codes and other discounts cannot be combined unless expressly stated.

4.3. Payment is made by bank card, Apple Pay or Google Pay through the Payment service, and for sole proprietors and companies also by invoice. The Organiser does not receive or store card data.

4.4. [single tax payer, group …, not a VAT payer]. After payment the Buyer receives an electronic fiscal receipt in accordance with Ukrainian law.

5. Issuing and receiving the Ticket

5.1. When ordering, the Buyer states the first and last name of each Attendee, a phone number and an email address, and is responsible for their accuracy.

5.2. The Ticket is sent to the email address within a few minutes after payment. If it has not arrived within 24 hours, the Buyer must notify the Organiser at flowerforum.ua@outlook.com.

5.3. One Ticket entitles one person to one entry. Re-entry with the same QR code is not possible. Tickets may not be resold above face value.

5.4. A Ticket may be re-issued to another person free of charge under the Ticket purchase and refund rules.

6. Rights and obligations

6.1. The Organiser shall hold the Forum on the stated date and at the stated venue; provide services under the Tariff; ensure safe conditions at the venue, including access to a shelter; and notify Buyers of material changes by email and on the Website.

6.2. The Organiser may change the programme, speakers and schedule; refuse entry to or remove from the venue any person who breaches public order, venue rules or this offer, or is severely intoxicated, without a refund; and photograph and film the Forum.

6.3. The Buyer (Attendee) shall provide accurate data; follow venue rules, safety requirements and instructions of the Forum team, including during air-raid alerts; treat the property of the venue and partners with care; and compensate any damage caused.

6.4. The Buyer (Attendee) is entitled to receive the services under the Tariff, receive information about the Forum, return a Ticket under the Ticket purchase and refund rules and submit a complaint to the Organiser.

7. Attendance rules

7.1. Entry is by the Ticket QR code (on a phone screen or printed). The Organiser may ask for an ID document to check it against the name on the Ticket.

7.2. Persons under 16 may attend only accompanied by an adult with their own Ticket. The afterparty is for persons aged 18 and over only.

7.3. It is prohibited to bring weapons, explosive, flammable or toxic substances, or own alcoholic drinks, and to carry out commercial photo or video shooting without the Organiser’s consent.

7.4. During an air-raid alert, Attendees proceed to the shelter as instructed by the Forum team. The programme resumes after the all-clear and the schedule may be adjusted. An alert is not grounds for a refund if the Forum continues.

7.5. The Forum is a public event. Under Article 307 of the Civil Code of Ukraine, consent to open photo and video shooting at a public event is presumed. The Organiser may use photos and videos of the Forum to cover and promote the event. An Attendee who does not wish to be filmed may inform the team at registration.

8. Online access and recordings

8.1. Access to the stream and recordings is provided personally to the Buyer for the period of the Tariff by sending a link to their email.

8.2. Recordings are protected by copyright. Copying, recording, publishing or sharing access with third parties is prohibited. In case of a breach the Organiser may terminate access without a refund.

8.3. The online access service is deemed provided once the stream link is sent, provided the Buyer agreed to the start of the service when ordering.

9. Refunds

Refund terms, deadlines and procedure, as well as ticket re-issue, are set out in the Ticket purchase and refund rules, which form an integral part of this offer.

10. Liability

10.1. The parties are liable in accordance with the laws of Ukraine.

10.2. The Organiser is not liable for an Attendee’s inability to attend for reasons within their control; failures of the Attendee’s internet, equipment or software; the content of talks and partners’ offers; or personal belongings left unattended.

10.3. The Organiser’s total liability to the Buyer is limited to the price of the paid Ticket, except where the law expressly provides otherwise.

11. Force majeure

11.1. The parties are released from liability for failure to perform caused by force majeure (Article 617 of the Civil Code of Ukraine): hostilities, missile and other attacks, decisions of authorities, natural disasters, epidemics, prolonged power outages, etc.

11.2. If the Forum is cancelled or postponed due to such circumstances, the Organiser offers a new date or a refund under the Ticket purchase and refund rules.

12. Personal data

Personal data of Buyers and Attendees is processed in accordance with the Law of Ukraine “On Personal Data Protection” and the Privacy policy.

13. Complaints and disputes

13.1. Complaints are accepted at flowerforum.ua@outlook.com. The Organiser reviews a complaint and replies within 14 calendar days.

13.2. Disputes are resolved through negotiations and, failing agreement, in court under the laws of Ukraine. A consumer Buyer has the rights provided by Ukrainian consumer protection law.

14. Term and changes

14.1. The agreement is valid until the parties have fully performed their obligations.

14.2. The Organiser may amend this offer by publishing a new version on the Website. Tickets already paid for are governed by the version in force at the time of payment.

14.3. The Website is available in Ukrainian and English. In case of discrepancies the Ukrainian version prevails.
